Terms of Service

These Terms of Service ("Terms") govern access to and use of AutoReport (the "Service"), provided by ProStack NG Technologies ("ProStack NG," "we," "us," or "our"), a business based in Port Harcourt, Rivers State, Nigeria. By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a company or other organization, you confirm that you have the authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, do not create an account or use the Service.

1. The Service

AutoReport lets you connect data sources, build report templates, and schedule automated delivery of PDF and Excel reports to recipients you designate. The Service is provided on a subscription basis, with separate free and paid plans described at signup and on the pricing page. Available features and usage limits differ by plan.

2. Accounts and Approval

You must provide accurate registration information and keep it current. New accounts are reviewed before activation; we may decline to activate, or may suspend, an account at our discretion, including where we suspect misuse, fraud, or a breach of these Terms. You are responsible for all activity under your account and for keeping your credentials and any API keys confidential.

3. Subscriptions, Billing, and Plan Limits

Paid plans are billed in advance on a recurring basis through Paystack. You authorize us to charge your chosen payment method for each billing cycle until you cancel. Fees are shown before you subscribe and may change with notice; changes take effect from your next billing cycle.

Each plan has associated limits (for example, the number of data sources, templates, schedules, or recipients, and whether API access, PDF export, anomaly alerts, or white-label branding are included). We enforce these limits as described on the pricing page and may update them from time to time. See our Refund & Cancellation Policy for how cancellations, downgrades, and refunds work.

4. Your Data

You retain ownership of the data you upload or connect to the Service ("Customer Data"), including source files, database connections, and the content of generated reports. You grant us a limited license to store, process, and transmit Customer Data solely to provide the Service to you, for example, to generate and deliver your scheduled reports. We do not use Customer Data to train models, and we do not sell it.

You are responsible for having the rights necessary to upload and process any data you provide, including personal data about third parties (such as report recipients), and for your own compliance with laws that apply to that data.

5. Acceptable Use

You agree not to:

• Use the Service to store or transmit unlawful, infringing, or harmful content;
• Attempt to gain unauthorized access to another account, our infrastructure, or data belonging to another customer;
• Interfere with or disrupt the integrity or performance of the Service, including through excessive automated requests outside documented API limits;
• Reverse engineer or attempt to extract the source code of the Service, except where applicable law permits it;
• Use the Service to send unsolicited bulk communications or otherwise violate applicable anti-spam law.

We may suspend or terminate access for a violation of this section.

6. Intellectual Property

The Service, including its software, design, and the AutoReport and ProStack NG names and marks, is owned by ProStack NG Technologies and protected by applicable intellectual property law. These Terms do not grant you any right to use our trademarks or branding except as needed to use the Service as intended.

7. Availability and Support

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, and features may change as the Service is improved. We are not liable for delays or failures caused by third-party services the Service depends on, including payment processing, email delivery, or hosting infrastructure providers.

8. Termination

You may stop using the Service and cancel your subscription at any time from your account settings. We may suspend or terminate your account for a material breach of these Terms, non-payment, or extended inactivity on a free plan, generally with notice where practical. On termination, your right to use the Service ends; sections of these Terms that by their nature should survive (including intellectual property, limitation of liability, and governing law) continue to apply.

9. Limitation of Liability

To the extent permitted by law, the Service is provided "as is" without warranties of any kind, and ProStack NG Technologies is not liable for indirect, incidental, or consequential damages arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three months preceding the claim.

10. Changes to These Terms

We may update these Terms from time to time. If a change is material, we will make reasonable efforts to notify you, such as by email or a notice within the Service, before the change takes effect. Continued use of the Service after a change takes effect means you accept the updated Terms.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or the Service is subject to the exclusive jurisdiction of the courts of Rivers State, Nigeria.
